id.tel Global Business Terms of Service

These Global Business Terms of Service ("Terms") govern business, professional and organisational use of id.tel. The contracting provider is IDTEL GROUP PTY LTD (ABN 69 693 776 966), Queensland, Australia ("IDTEL", "id.tel", "we", "us" or "our"). By creating a business account, purchasing a plan, submitting or managing a business, or otherwise using paid or account-based Services, you agree to these Terms.

1. Business use and authority

The Services are primarily intended for businesses, organisations, sole traders, professionals and authorised representatives. You must be at least 18, have legal capacity to contract, provide accurate account information and have authority to bind any entity on whose behalf you accept these Terms. If you manage a business listing, you must be authorised by that business.

2. Services

id.tel may provide Action Pages, business profiles, AI Visibility assessments, Deep Scan and business research, AI assistants, AI-generated FAQs and descriptions, structured business information, menus and catalogues, products and services, customer actions, QR codes, analytics, multi-location tools, Partner access, APIs, integrations, agent-accessible information and future quoting, booking, purchasing or transaction functionality. Features vary by plan and may evolve.

3. Accounts and security

You are responsible for maintaining reasonable security over your account, devices and credentials. Notify us promptly at support@id.tel if you suspect unauthorised access, an improper business claim or compromised credentials.

4. Disputed business authority

If ownership or authority over a listing is disputed, we may temporarily restrict publication or changes while we request reasonable evidence. We are not required to adjudicate complex corporate, employment, franchise, partnership or ownership disputes between third parties.

5. Business information discovery

To simplify onboarding and improve business information, id.tel may collect, compare, extract or organise information from your website, search results, public directories, maps, review platforms, public social profiles, structured website data, public documents, menus, catalogues and other publicly accessible business sources.

6. Owner review and accuracy

Public-source and AI-generated information may be inaccurate, incomplete or outdated. Where the Services allow review, approval or publication, you are responsible for reasonably checking material information such as contact details, locations, hours, prices, products, services, qualifications, policies, availability and offers before relying on or publishing it. You should update information that becomes inaccurate.

7. Action Pages

An Action Page is a public digital business presence that may let visitors learn about your business, call or message you, obtain directions, visit websites, view products and services, use an AI Assistant, submit enquiries, access bookings or quotes, scan QR codes, save or share information, or initiate other supported actions. You authorise id.tel to publish content you approve or otherwise designate for public display.

8. AI functionality

id.tel uses artificial intelligence and automated systems for functions that may include research, information extraction, classification, content generation, FAQ generation, AI Visibility analysis, conversational answers, catalogue extraction, recommendations and future agent interactions. AI may be provided by IDTEL or third-party providers.

9. AI output may be wrong

AI is probabilistic. Generated content may be inaccurate, incomplete, inconsistent, outdated or based on incorrect source material. You must exercise reasonable judgement, particularly for prices, legal obligations, safety information, professional claims, warranties, availability and other material representations.

10. No guarantee of AI or search visibility

id.tel is designed to improve the quality, structure, accessibility and usefulness of business information, but we do not guarantee that any search engine, AI model, chatbot, assistant or discovery platform will crawl, index, cite, recommend, rank or select your business. We do not guarantee traffic, leads, enquiries, rankings, sales, conversion, revenue or business growth.

11. AI Visibility scores

Any score, grade, benchmark, recommendation or diagnostic is informational. Methodologies may change as technology and third-party platforms evolve. A score may change because the methodology or external environment changes even where the business itself has not materially changed.

12. AI Assistant authority

Unless expressly configured through a supported transaction workflow, an AI Assistant is not authorised to enter contracts, alter prices, waive policies, promise refunds, guarantee stock or availability, accept liability or provide regulated professional advice on your behalf. You remain responsible for the approved business information on which the assistant relies.

13. Future AI agents and transactions

id.tel may develop functionality that allows personal AI agents or software systems to ask questions, request quotes, check availability, request bookings, initiate orders, make purchases or take other supported actions. Additional feature-specific terms may apply. Unless expressly stated otherwise, an automated request does not itself create a binding transaction; the applicable booking, order, payment or acceptance flow determines contract formation.

14. Customer Content

"Customer Content" includes business information, text, logos, photographs, videos, products, services, menus, catalogues, prices, FAQs, offers, links, documents and other material you submit, approve or publish. As between you and id.tel, you retain the rights you hold in Customer Content.

15. Licence to operate the Service

You grant IDTEL a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, adapt, process, analyse, transmit and display Customer Content as reasonably necessary to provide the Services, operate public Action Pages and AI features, generate QR and structured-data experiences, maintain backups, secure the platform and distribute information you designate as public.

16. Generated content

Subject to applicable law and third-party rights, id.tel does not claim exclusive ownership of AI-generated business descriptions, FAQs or similar output generated specifically for you. AI output may not qualify for copyright protection in every jurisdiction, may be similar to output produced for others, and is not guaranteed to be unique or non-infringing.

17. Content warranties

You represent that you have the rights or permissions necessary to provide and use Customer Content. You must not knowingly publish content that is unlawful, fraudulent, defamatory, malicious, privacy-infringing, materially deceptive or infringing of third-party intellectual-property rights.

18. Content removal

We may remove, restrict or disable content where we reasonably believe it is unlawful, fraudulent, infringing, materially deceptive, a security risk, the subject of a credible legal complaint, or in material breach of these Terms or the Acceptable Use Policy. Where reasonably practicable and lawful, we will provide notice of material enforcement action.

19. Acceptable use

You must comply with the Acceptable Use Policy. You must not misuse the Services, bypass security or billing controls, manipulate analytics or Partner attribution, access another account without authority, distribute malware, conduct fraud, unlawfully harvest information, facilitate spam or intentionally overload the platform.

20. Usage limits

Plans may include limits for AI usage, interactions, storage, locations, APIs or other resources. Applicable limits are displayed in the relevant plan, product documentation or account interface. We may protect platform stability against abusive or technically harmful use, but will not intentionally use undisclosed limits merely to deprive a Customer of the substantial benefit of a paid plan.

21. Plans and pricing

Features, limits and prices applicable to your purchase are those shown when you subscribe or otherwise agree to buy the Services. id.tel may offer monthly, annual, usage-based, promotional, trial, enterprise or other pricing structures. We deliberately do not hard-code plan prices into these Terms so product pricing can change transparently through the applicable offer or checkout.

22. Recurring billing

If you purchase a recurring subscription, you authorise IDTEL and its payment provider to charge the applicable fee at the disclosed billing interval until cancelled. The billing interval and price are shown before purchase.

23. Payments

Payments may be processed by Stripe or another identified payment provider. We generally do not need to receive or store your complete payment-card number. Payment providers may apply their own terms and privacy practices.

24. Taxes

Prices may be displayed inclusive or exclusive of tax depending on location and checkout presentation. You are responsible for applicable GST, VAT, sales tax, duties or similar charges except taxes imposed on IDTEL's net income. We may collect and remit taxes where legally required.

25. Failed payments

If payment fails, we may notify you, retry payment, request another payment method and, if payment remains outstanding, suspend paid functionality. Where practicable, we will allow a genuine payment failure to be corrected before terminating a paid subscription. Valid outstanding charges remain payable.

26. Price changes

We may change prices prospectively. A price increase to an existing recurring subscription applies only to a future billing period, not retrospectively. Where reasonably practicable, we will give advance notice of a material increase and allow cancellation before the new price takes effect.

27. Promotions and discount codes

Promotional offers may have eligibility, expiry, usage, plan, geographic or other disclosed restrictions. Fraudulent or technically erroneous redemptions may be rejected or corrected. Partner attribution and Customer discounting are separate mechanisms unless expressly stated otherwise.

28. Cancellation

You may cancel recurring billing through available account or billing controls. Unless otherwise stated at purchase, cancellation stops future renewal and paid functionality normally remains available until the end of the billing period already paid for.

29. Refunds

Except where required by law or expressly offered, fees already paid are generally not refundable merely because you decide not to continue using the Services during a billing period. This does not limit any refund, cancellation, compensation or other remedy that cannot lawfully be excluded.

30. Downgrades and post-cancellation service

A downgrade may disable features or reduce limits available only on a higher plan. Where id.tel offers an ongoing Free plan or free public listing, a business may remain visible in a reduced form after a paid subscription ends unless removed or otherwise restricted. The applicable cancellation flow may explain the precise consequences before you confirm.

31. Extra locations and add-ons

Some plans may include a number of locations or other allowances and charge separately for additions. Any recurring add-on price, quantity, proration or entitlement will be shown in the relevant billing interface before activation.

32. Partner-paid accounts

Where an authorised Partner pays id.tel for a wholesale or managed-client licence, the Partner may be the billing party while the underlying business remains the owner of its business information. Ending the Partner-paid entitlement may cause paid functionality to end or revert according to the applicable plan and Partner arrangement.

33. Third-party services

The Services may interact with AI providers, hosting and database providers, maps, payment providers, review platforms, social networks, email services, booking tools, websites and other third-party services. Those providers control their own services. id.tel is not responsible for a third party changing, suspending or discontinuing its product or API.

34. Analytics

id.tel may provide analytics such as reach, sessions, calls, QR scans, AI conversations, directions, bookings, website clicks and other actions. Analytics can involve estimates, bot filtering, deduplication, classification and technical limitations and should be treated as informational rather than audited measurements.

35. Privacy

Our handling of personal information is described in the Global Privacy Policy and Cookie & Browser Storage Notice. Where you independently collect, export or use personal information received through id.tel, you are responsible for your own applicable privacy and marketing obligations.

36. Intellectual property

Except for Customer Content and third-party material, IDTEL and its licensors own the Services, software, platform architecture, interfaces, databases, documentation, branding and proprietary methodologies. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for legitimate business purposes.

37. Feedback

If you voluntarily provide ideas or product feedback, you permit us to use that feedback to improve id.tel without an obligation to compensate you. This does not transfer ownership of unrelated confidential information.

38. Service communications

We may send account, security, billing, legal, subscription, publication and support communications reasonably necessary to provide the Services. Optional marketing is treated separately and will include consent or opt-out mechanisms where required by applicable law.

39. Availability

We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, defects, networks, hosting, cybersecurity events, third-party outages and events outside reasonable control can affect availability.

40. Product changes

id.tel is an evolving platform. We may add, modify, replace or discontinue features. Where a change would materially reduce principal paid functionality during an existing paid billing period, we will take reasonable steps to minimise the impact and, where appropriate, provide notice or an alternative remedy. Urgent security, law, abuse-prevention or third-party compatibility changes may occur without advance notice.

41. Beta features

Beta, preview or early-access functionality may be less reliable, may change substantially and may be withdrawn. We will identify experimental status where it is reasonably apparent or material.

42. Suspension and termination

We may suspend or terminate affected access where reasonably necessary because of material breach, fraud, prolonged non-payment, unauthorised business control, serious security risk, unlawful conduct or legal requirement. Where a breach can reasonably be remedied and urgent action is unnecessary, we will ordinarily provide an opportunity to remedy it.

43. Mandatory rights

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, privacy right, statutory remedy or other right that cannot lawfully be excluded. Mandatory local protections prevail to the extent of an inconsistency.

44. Service disclaimer

Subject to mandatory law, the Services are provided on an available basis. We do not warrant that every feature, third-party integration, AI response, public-source item, search index or business outcome will always be accurate, available or successful.

45. Business decisions

You remain responsible for operating your business and for legal, tax, professional, safety, licensing, advertising, consumer and regulatory obligations applicable to it. id.tel does not become your lawyer, accountant, financial adviser, employee or professional adviser merely by providing the Services.

46. Liability limitations

Subject to applicable law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable. To the maximum extent permitted by law, IDTEL's aggregate liability arising from paid Services during a twelve-month period will not exceed the fees paid or payable for the affected Services during the twelve months immediately preceding the event giving rise to the claim. For a claim arising solely from a free Service, contractual liability is limited to AUD $100 where such a limitation is lawful.

47. Liability that cannot be limited

The limitations above do not apply to the extent applicable law prohibits limitation, including liability that must remain available under mandatory consumer law, or to fraud or deliberate misconduct to the extent such liability cannot lawfully be limited.

48. Australian Consumer Law

Where the Australian Consumer Law applies, nothing in these Terms excludes guarantees that cannot lawfully be excluded. Where liability for failure to comply with a service guarantee can lawfully be limited, our liability may be limited, at our option and to the extent permitted by law, to supplying the relevant services again or paying the reasonable cost of having them supplied again.

49. Customer indemnity

To the extent permitted by law, you indemnify IDTEL against third-party claims and reasonable external costs to the extent directly caused by Customer Content that infringes third-party rights, your fraudulent or unlawful use, your knowing publication of materially false or unlawful information, or your breach of applicable law through the Services. Your responsibility is reduced to the extent the relevant loss was caused by IDTEL's own breach, negligence or unlawful conduct.

50. Your customers

Unless expressly stated otherwise, transactions between your business and people who discover or contact you through id.tel are between you and those people. You are responsible for representations about price, stock, delivery, qualifications, licences, warranties, refunds, products, services and expected outcomes.

51. Confidentiality

Each party must take reasonable steps to protect non-public confidential information received from the other and use it only for legitimate purposes relating to the Services. This does not apply to information lawfully public, already known, independently developed, lawfully received from another source or required to be disclosed by law.

52. Security

We use reasonable technical and organisational measures intended to protect the Services and information we hold, but no internet service can guarantee absolute security. You must not conduct vulnerability testing against id.tel without written authorisation.

53. Changes to these Terms

We may update these Terms for legal, regulatory, security, product or business reasons. We will not use this clause to retrospectively remove accrued rights without a legitimate basis. Where a material change adversely affects existing paid Customers, we will take reasonable steps to give advance notice unless an urgent legal or security change makes advance notice impracticable.

54. International use

id.tel may be accessed internationally. We may restrict features in particular countries because of law, sanctions, payments, technical limits or third-party requirements. You remain responsible for local laws applicable to your business, including privacy, advertising, electronic marketing, e-commerce, tax, accessibility and industry rules.

55. Governing law

These Terms are governed by the laws of Queensland, Australia and applicable Commonwealth laws. Subject to mandatory rights that cannot be waived, the parties submit to courts having jurisdiction in Queensland. Nothing prevents a Customer from using a mandatory local forum or remedy that applicable law requires to remain available.

56. Disputes

Before commencing ordinary court proceedings, each party should give reasonable written notice of a dispute and attempt in good faith to resolve it. This does not prevent urgent injunctive or protective relief for security, confidential information, intellectual property or another matter requiring immediate protection.

57. Assignment and corporate transactions

You may request transfer of an account as part of a genuine sale or restructuring of your business. IDTEL may assign these Terms as part of a bona fide merger, acquisition, financing, corporate restructuring or sale of the id.tel business, provided the successor assumes applicable contractual obligations and the transfer does not unlawfully remove accrued rights.

58. No partnership

These Terms do not create a partnership, franchise, employment, fiduciary or agency relationship between you and IDTEL. Approved Partners are governed separately by the Global Partner Program Agreement.

59. Entire agreement and precedence

These Terms, the applicable checkout or order, product-specific terms, the Privacy Policy, any Data Processing Addendum and any separately signed agreement form the applicable agreement for the Services. A separately negotiated signed agreement prevails to the extent it expressly conflicts with these Terms.

60. Severability and waiver

If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary while the remainder continues where legally permitted. Failure to immediately enforce a right does not necessarily waive it.
